Please read these terms and conditions carefully before using Dothis.to Marketplace ("Service", "Platform").

Welcome to Dothis.to Marketplace

Hello and welcome to the Dothis.to Marketplace. Dothis.to's ("We", "Us", "Our") mission is to build the whole organization’s trust and confidence and exceed beyond expectations. With this mission in mind, we built the Marketplace to share the best practices in building trust and confidence. The content such as, but not limited to, Courses, Procedures, Policies ("Content) in the Marketplace ("Service", "Platform") will help you in aligning your organization's goals, vision, and mission.

To keep our platform safe, we have written these Terms of Use (“Terms”) as rules governing the use of the Service and will apply to all your activities on the Marketplace.

You agree that by registering, accessing, or using our Service, you are agreeing to enter into a legally binding contract with Dothis.to. If you do not agree to these Terms, do not register, access, or otherwise use our Platform.

If you are accepting these Terms on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so.

The Service and its content are provided on an “as is” and “as available” basis. Your use of the Service and its content/s is entirely at your own risk. We may decide to cease making available certain features of the Service at any time and for any reason. Under no circumstances will Dothis.to or its affiliates, suppliers, partners, or agents be held liable for any damages due to such interruptions or lack of availability of such features.

We are not responsible for any delay or failure of our Service performance caused by events beyond our reasonable control, like acts of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.

Account

Most of the activities done in the Marketplace requires an account in Dothis.to. You must either be part of a registered organization or be a Registered Consultant to have an account. You may not transfer your account to someone else or use someone else's account.

You are responsible for what happens with your account and we will not intervene in disputes regarding login credentials being shared. If you have learned or suspect that someone is using your account without your permission, inform us immediately by contacting our Support Team through support@dothis.to. We may request information from you to confirm that you are indeed the owner of your account.

There is no need to have or create an account to view the publicly listed details of the content in the Marketplace. The details viewable by the public will be determined by Dothis.to and the author of the content.

Intellectual Property

Content owned by Dothis.to

We own all Dothis.to content that we have put on the Marketplace (unless otherwise stated and excluding content owned by others). This includes the design, compilation, and look and feel of the Dothis.to sites, and copyright, trademarks, designs, and other intellectual property on the Marketplace. We own all the trademarks, logos, service marks, and trade names on the Marketplace (unless otherwise stated and excluding things owned by others). You will not copy, distribute, or modify any of our Dothis.to content or use any of our intellectual property in any way not expressly stated in these terms.

Content owned by Authors

We do not own the items or content published by authors on the Marketplace. Items are uploaded at the discretion of the author. The author is responsible for the quality, safety, or legality of the content they post, publish, or share. We do not warrant that the content (data, details, information, or materials) available on or via the Dothis.to Marketplace do not infringe on the intellectual property rights of a third party.

We respect the intellectual property rights of others and we require that authors do the same. If you believe that content infringes an intellectual property right (including copyright) please see the information in our next section, Infringement Reports.

Infringement Reports

Dothis.to will remove any content in the Marketplace when they are reported as infringing in copyright and/or trademark infringement notice received from the owner of the original content. We will also remove all content from any author who has received more than two valid takedown notices ("Repeat Infringer"). We reserve the right to terminate an author’s account at any time, including when they post content in violation of the copyrights and trademarks of others.

Filing a Copyright Infringement Report

If you find any content that is infringed and if you are the owner of the copyright or its designated agent, and have sufficient substantial copyright claim you can report it to support@dothis.to or fill-out this report form in English at this link: www.dothis.to/marketplace/report.

Please remember and include these things when submitting a copyright infringement report:

  • Provide sufficient information for us to contact you, including your full legal name, an active e-mail address, physical address.
  • On behalf of filing for an organization, include the name of the organization and your relationship to the organization.
  • Precisely identify the original copyrighted material or for multiple copyrighted works, provide a sufficiently representative list of such original material (include URL where the material is located if applicable).
  • Provide sufficient information where the reportedly infringing content on Dothis.to and/or Marketplace is located - (a) URL on the website, (b) Name of Author.
  • Tick the statement saying I declare, under penalty of perjury, that the information in this complaint is accurate and that I am the copyright owner or am authorized to act on the copyright owner's behalf and I have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law on the form.
  • Consider whether the use of your material in the content is "fair use".

Filing a Trademark Infringement Report

We will remove content from our service when they are reported as infringing on a third-party trademark. The reported content’s author will receive a copy of the notice you have submitted to us. We also reserve the right to terminate an author’s account at any time, including when they post content in violation of the trademark rights of others.

If you find any content that is infringed and if you are the owner of the trademark or its designated agent, and have sufficient substantial trademark claim you can report it to support@dothis.to or fill-out this report form in English at this link: www.dothis.to/marketplace/report. Before submitting your report, consider whether the use of your trademark in the content is “nominative fair use”. If it does not qualify as fair use, you may proceed with the next steps.

Please remember and include these things when submitting a trademark infringement report:

  • Provide sufficient information for us to contact you, including your full legal name, an active e-mail address, physical address.
  • The specific word, symbol, etc. for which you claim trademark rights.
  • The basis for your claim of trademark rights (such as a national or community registration), including registration number, if applicable.
  • The country or jurisdiction in which you claim trademark rights.
  • The category of goods and/or services for which you assert rights.
  • Provide sufficient information where the reportedly infringing content on Dothis.to and/or Marketplace is located - (a) URL on the website, (b) Name of Author.
  • A description of how you believe this content infringes your trademark.
  • If you are not the rights holder, an explanation of your relationship to the rights holder.
  • Tick the statements saying "I have a good faith belief that use of the trademark as described above in the manner complained of is not authorized by the trademark owner, its agent, or the law” and "The information in this notice is accurate, and I declare, under penalty of perjury, that I am the owner or authorized to act on behalf of the owner of a trademark that is allegedly infringed" on the form.
  • Your electronic signature followed by your full name or physical signature.

Counter-Notification

When we receive a valid copyright violation report, we will send a copy of that report to the author who published the reported content along with a notification that 1) the content was reported for copyright infringement and 2) we are removing the content from the Dothis.to Marketplace. We will also attach a form that the author can fill in and send back to us to submit a counter-notification.

If your content has been reported for copyright infringement and removed from the Marketplace, and if you believe we made a mistake or that you have permission from the owner of the reported content to use such content, then you may send us a counter-notification.

The counter-notification must be in writing and include the following information:

  • Your physical or electronic signature;
  • Your name, address, and active e-mail address or telephone number;
  • The name of the content and its URL or location at which it appeared before it was removed
  • A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
  • A statement that you consent to (i) Dothis.to sharing your name and contact information with the claimant; (ii) receiving service of process for any legal action by the claimant or an agent of the claimant and (ii) accepting the jurisdiction of the federal district court for the judicial district in which you reside.

Submitting a false or misleading claim of infringement or counter-notification to a claim of infringement knowingly is illegal and you could be held liable and have to pay damages as a result. We reserve the right to seek damages from anyone who submits a notification of claimed infringement or counter-notification to a claim of infringement in violation of the law.

Publishing Content

Access to Publishing Content

Publishing Content (“Publishing”) is only available when you have the following accounts or access: (a) Organization admin, (b) specific role/s that an organization has given to the user to publish in the Marketplace, or (c) a registered Consultant. The content’s public details such as, but not limited to, the title, description, price, author, cover photo, will be available by everyone that can access the Marketplace.

Restrictions in Publishing Content

We strongly recommend that you don’t publish your contact details together with your content in the Marketplace or in any public communications via the Marketplace. This includes your e-mail address, street address, and phone number but does not include social network handles.

As an author, you cannot post any content, quiz' questions and answers, review, or other information or materials that violate applicable local or national laws or regulations of your country. You are solely responsible for any content you post or action you take via the platform and our Dothis.to Service as a whole and their consequences. Make sure you understand all the copyright restrictions set forth in these Terms before you submit any content for publishing on the Marketplace.

Guidelines in Publishing Content

As an author, you are responsible for all content that you post including quizzes, resources, answers, and announcements (“Published Content” “Content”). You represent and warrant the following: (1) you will provide and maintain accurate account information, (2) you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Dothis.to to use your Published Content as specified in these Terms, (3) your Published Content will not infringe or misappropriate any third party’s intellectual property rights. Inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory, or libelous content or information, as we deem so, is not allowed in the Marketplace.

Dothis.to does not review or edit the content for legal issues, and we are not in a position to determine the legality of the content you publish. We do not exercise any editorial control over the courses that are available on the Service.

If we are notified that your content violates the law or rights of the others, or if we discover that your content or behavior violates our Terms, is unlawful, inappropriate, or objectionable, we may remove your content from the Marketplace. We comply with copyright laws as indicated in our Intellectual Property section. We may suspend, deactivate, or terminate your permission and access to use our platform and Dothis.to Service, with or without notice, for any or no reason, including for any violation of these Terms, upon the request of law enforcement or government agencies, if we suspect that you engage in fraudulent or illegal activities, or for any other reason in our sole discretion.

Pricing Content

The price applicable to the Content will be the price at the time you complete your purchase of the course at checkout. Content prices may differ for different accounts such as organizations and consultants. The currency listed in the Marketplace is in USD unless otherwise stated. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.

The author may choose to publish free or paid Content. The prices of courses are at the discretion of the author with the guidance of Dothis.to such as running promotions or sales of Content in the Marketplace.

Revenue Share and Payouts

When an organization, user, or consultant purchases the author’s Content, the author will receive 80% of the net amount received by Dothis.to from the purchase. We make all payments in USD unless stated otherwise.

You may request a payout at any time you have sales through your account. Your account will show any pending payouts and cleared payouts. You will need to add your card details for us to process any payout requests.

We reserve the right to suspend payouts for any reason at any time, without prior notice, including in cases where the author and/or Content does not comply with our Terms, Content falls below our quality standards or has a negative impact on the user experience, and in any case, as determined by Dothis.to in its sole discretion.

Purchase, Acquisition, Use and Reuse of Content

We do not exercise any editorial control over the courses that are available on the Service and, as such, do not guarantee in any manner the reliability, validity, or truthfulness of the content. If you purchase and/or acquire content, you rely solely on any information provided by the author at your own risk.

When you use our Platform, you may find links to other websites that we do not own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information. Make sure to read the third-party sites' terms of use and privacy policies.

Payments

You agree to pay the fees for content that you purchase or acquire, and you authorize us to charge your debit or credit card or process other means of payment for those fees. Dothis.to works with a third party payment processing partner, Stripe, to offer you the most convenient and safest payment methods in your country.

When you purchase or acquire content, you are responsible for not using an invalid or unauthorized payment method. If your payment fails and you still get access to the content, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable any access to content purchased or acquired for which we have not received adequate payment.

Use of Content

Dothis.to and the author grant you a limited, non-exclusive, non-transferable access of the published content solely for personal, non-commercial, educational purposes through the Service, in accordance with these Terms and any conditions or restrictions associated with particular content or feature of our Service.

Republishing Purchased and Acquired Content

When you purchase paid content or acquire free content, this does not give you any right to resell the content in any manner and this includes sharing your account information with a purchaser or illegally downloading or copying the content and sharing it with other sites.

We reserve the right to revoke any access and use of the content at any point in time in the event where we decide or are obligated to disable access to content due to legal or policy reasons such as content reported for a copyright complaint.

Published Content Removal

For Authors

You have the right to remove all or any portion of your Published Content from the Service at any time. We may store all or any part of your Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the platform. You waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable laws.

For users who have purchased or acquired said Published Content

Upon purchasing or acquiring a Published Content that has been removed after its purchase or acquisition, rights given will continue in accordance with the terms of those licenses.

  • Free Content acquired before removal will only be available after a certain period of time as decided by the author and/or Dothis.to.
  • Paid Content with monthly or annual recurring payment will be available up until the pre-paid period has ended.

Limitation of Liability

The Dothis.to Marketplace is provided on an "as is" and "as available" basis and the use of the Dothis.to Marketplace is at the user's own risk. Dothis.to is not responsible for any damages, injury, or economic loss arising from the use of the Dothis.to Marketplace.

The Content’s author and the user will indemnify and hold harmless Dothis.to, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the use of the Dothis.to Marketplace.

Changes and Update

Being Dothis.to a new product in the market, our features may change, update, improve, grow, or decrease from time to time. We may update these Terms to reflect new or different practices. Dothis.to reserves the right in its sole discretion to modify and/or make changes to this Agreement at any time. If we make any material change, we may notify you using prominent means, such as sending you an e-mail to the specified e-mail address in your account or posting a notice through our Service and/or Dothis.to pages.

Any modifications will become effective on the date indicated in the document which you will find in dothis.to/marketplace-terms-of-use/ unless stated otherwise. Your continued use of our Service after the changes become effective will mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Philippines. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the courts located in the Philippines.

In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.
